Yulchon"s M&A team and antitrust and tax group advised Samsung Electronics on its merger with Samsung LED. Samsung Electronics and Samsung Electro-mechanics had each owned 50% of Samsung LED. Samsung Electronics will now conduct the LED business on its own via this transaction, thereby enabling itself to respond promptly to changes that occur in the domestic and overseas markets.
The M&A team and antitrust group reviewed documents such as the transaction schedule, schedule for public notification, various registrations, merger agreement, securities report, and prospectus. They also provided comprehensive legal advice pertaining to the potential need to file business combination reports in Korea and Japan and executing such reports. Meanwhile, the tax team advised the company on tax issues that may arise from this deal.
